This week, the AdC decided not to block the acquisition of UL Ice Cream Comercial by TMICC (The Magnum Ice Cream Company), which is part of the Unilever group. The decision was made because the AdC believes this merger won't significantly hinder competition in the national market.
So, what's actually happening? On December 3rd, TMICC informed the AdC about its plan to take control of UL Ice Cream Comercial. This transaction involves Unilever's ice cream business, specifically the commercialization and sale of ice cream from Unilever Fima, Ltda., and indirectly, the ice cream production activity of Fima Olá - Produtos Alimentícios. Essentially, TMICC is taking over a big chunk of the ice cream world.
And this is the part most people miss... TMICC, as part of Unilever's Global Ice Cream Business, operates independently. This business is currently controlled by Unilever and is in the process of being completely separated from Unilever's other business groups. This separation is part of a larger plan called the "Global Spin-off."
But here's where it gets controversial... As part of the Global Spin-off, the Global Ice Cream Business will join a new company that will be listed in the Netherlands (Magnum Listco). This new company will control TMICC, and its shares are expected to be listed on the stock exchanges in Amsterdam, London, and New York by mid-December 2025. This means big changes are coming, and the ice cream industry is about to get a major shake-up!
UL Ice Cream Comercial will be the company responsible for selling Unilever Fima's ice cream and, indirectly, the ice cream produced by Fima Olá. This merger is a complex move with far-reaching implications.
